1. Acceptance of these Terms

These Terms of Service (“Terms”) govern your access to and use of 503ADirect.com and related forms, communications, and clinic-development services provided under the 503A Direct name (“Services”). By using the Services, submitting information, or requesting a rate review, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. Our Services

503A Direct provides business-development, clinic qualification, relationship introduction, and onboarding coordination services for medical practices interested in evaluating licensed compounding pharmacy partners. Services may include reviewing operational requirements, current commercial terms, estimated prescription volume, patient states, and other information relevant to determining potential fit.

We may decline, pause, or discontinue a qualification review at any time. No submission creates an obligation for 503A Direct or any pharmacy to offer pricing, accept a clinic, enter an agreement, or provide services.

3. Not a Pharmacy or Healthcare Provider

503A Direct is not a pharmacy, medical practice, prescriber, healthcare provider, insurer, or pharmacy benefit manager. We do not diagnose, prescribe, compound, dispense, ship, administer, or provide medical advice regarding medications.

Any pharmacy services are provided solely by the applicable licensed pharmacy under separate terms and subject to professional judgment, valid patient-specific prescriptions, licensing coverage, clinical appropriateness, product availability, and applicable law. Compounded drugs are not FDA-approved.

4. Business Use and Eligibility

The Services are intended for authorized representatives of legitimate healthcare businesses, including telehealth clinics, medical practices, and medical spas operating under appropriate clinical oversight. You represent that you are at least 18 years old, have authority to act for the organization identified in your submission, and will use the Services only for lawful business purposes.

5. Information You Submit

You agree to provide accurate, current, and complete information. You must not submit:

  • patient names, dates of birth, medical records, prescriptions, or other protected health information (“PHI”);
  • information you do not have permission to disclose;
  • false or misleading pricing, volume, licensure, or business information; or
  • malicious code, unlawful content, or material that infringes another party’s rights.

If we request documentation such as a pricing sheet or invoice, remove all patient information before sharing it.

6. Communications Consent

When you submit a form, you authorize 503A Direct to contact you about your request using the email address and telephone number provided.

503A Direct Clinic Rate Review SMS Program: 503A Direct is operated by JS Media Group Inc. dba 503adirect.com. If you separately opt in, you may receive non-marketing text messages about your requested clinic rate review and onboarding. Message frequency varies. Message and data rates may apply. Reply STOP to cancel or HELP for assistance. Consent to text messages is not a condition of submitting a form or receiving a rate review. Wireless carriers are not liable for delayed or undelivered messages. See our Privacy Policy for information about how we handle your data.

7. Confidentiality and Partner Information

We treat submitted commercial information as business-confidential, subject to the Privacy Policy and reasonable operational needs. Pharmacy identity, negotiated pricing, service terms, licensing coverage, and related partner information may be shared only during qualification. You may be asked to agree to additional confidentiality, non-circumvention, pharmacy, or service terms before receiving or using certain information.

8. Third-Party Services

Pharmacies, communications platforms, website providers, analytics services, and other third parties operate under their own terms and privacy practices. 503A Direct does not control and is not responsible for a pharmacy’s professional judgment, dispensing decisions, products, delivery, licensing, policies, or performance. Any agreement with a pharmacy is separate from these Terms.

9. Intellectual Property

The 503A Direct name, website design, copy, graphics, processes, and other content are owned by or licensed to us and are protected by applicable intellectual-property laws. You may view and use the website for internal business evaluation. You may not copy, republish, scrape, reverse engineer, sell, or exploit the Services without written permission.

10. Acceptable Use

You may not interfere with the website, attempt unauthorized access, misrepresent affiliation with 503A Direct or a pharmacy, use information obtained through the Services to evade agreed commercial arrangements, or use the Services in violation of healthcare, pharmacy, privacy, advertising, anti-kickback, fee-splitting, or other applicable laws.

11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND RESULTS.

We do not guarantee lower pricing, savings, clinic acceptance, pharmacy acceptance, particular turnaround times, prescription approval, medication availability, patient outcomes, or service in any jurisdiction. Website content is general business information and is not medical, pharmacy, regulatory, financial, or legal advice.

12. Limitation of Liability

To the maximum extent permitted by law, 503A Direct and its owners, personnel, contractors, and partners will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, business opportunity, or goodwill arising from the Services. Our aggregate liability for claims arising from the Services will not exceed the greater of $100 or the amount you paid directly to 503A Direct for the Services during the six months before the event giving rise to the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless 503A Direct and its owners, personnel, contractors, and partners from claims, losses, liabilities, damages, and reasonable expenses arising from your misuse of the Services, violation of these Terms, unlawful conduct, or information you submit.

14. Changes, Suspension, and Termination

We may update the Services or these Terms from time to time. The effective date above identifies the latest revision. Continued use after updated Terms are posted constitutes acceptance. We may suspend or terminate access when reasonably necessary to protect users, partners, systems, or legal interests.

15. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Before filing a claim, each party agrees to make a good-faith effort to resolve the dispute informally.
